Experience

  • Corporate Finance/Securities:  Regular representation of issuers and sponsors in capital raises involving private offerings of debt (e.g., corporate bonds and convertible notes) and equity (including tenant-in-common interests to facilitate 1031 exchanges) securities (primarily Rule 506(b) and Rule 506(c) offerings), with an average of $5,500,000 per offering.  In such transactions, Tim has advised the client on the structure of the issuer (corporations, limited liability companies, partnerships and tenants-in-common to facilitate 1031 exchanges of fractional interests), negotiated and prepared the organizational documents, most of which have involved different classes of ownership with differing voting rights and rights to distributions of profits, prepared the offering documents (private placement memoranda, subscription agreements, etc.), and made Form D and related blue sky filings.

  • M&A:  Regular representation of buyers and sellers in merger and acquisition transactions across numerous industry sectors with transaction values primarily ranging between $1 million and $100 million.

  • Real Estate:  Regular representation of buyers, sellers and developers in commercial real estate transactions (acquisitions, sales, financing, development, 1031 exchanges and leasing of multi-family residential, office, mixed-use, agricultural, industrial and retail properties, and related examination and resolution of title and title insurance issues) with cumulative transaction value approaching $1 billion.

  • Debt Financing:  Regular representation of borrowers and lenders in negotiating, documenting and closing senior, junior, mezzanine and private debt financings with cumulative financings in excess $1 billion, many involving Fannie Mae, Freddie Mac and CMBS loans.

  • Startups, Early Stage and Private Equity/Venture Capital Companies:  Represented start-ups, early stage, private equity and venture capital companies in organizational structure, seed and early stage capital raises, acquisitions and manufacturing and distribution agreements.

Tim regularly acts as outside general counsel in a variety of business sectors, including hospitality, foodservice, telecommunications, distilled spirits, tobacco, fire arms and munitions, manufacturing, multi-family residential, financial institutions, printing/labeling, health laboratory, and health care, to name a few.  Tim provides regular advice on a variety of matters, including day-to-day operations, acquisitions and divestitures, financing, capital raises, contract negotiations, consultant and independent contractor agreements, intellectual property licensing, supply and manufacturing agreements, and real estate transactions.
